These Terms and Conditions govern your access to and use of Synergy Surgical™, operated by Advanced Inventory Management, Inc. d/b/a/ Synergy Surgical™. By accessing or using our website and services, you agree to comply with these terms. If you do not agree with these terms, please discontinue use of our website.

Definitions

• “Supplier” refers to the medical supply company providing products under this Agreement.
• “Customer” refers to the purchasing party.
• “Products” refers to medical devices, consumables, or related goods supplied by the Supplier.
• “Order” refers to any purchase request submitted by the Customer and accepted by the Supplier.

Terms

• The terms set forth in these Terms and Conditions supersede any contrary provision presented by the Customer and may not be changed in any manner other than a writing signed by an authorized representative of Supplier. Supplier rejects any contrary terms of sale.

Orders & Acceptance

• Medical License Requirement: We do not sell to the general public. You must be an authorized reseller or licensed medical professional to purchase medical devices from Synergy Surgical™. We will verify and maintain a copy of your medical or business license. If the license on file is an international license, we will only ship to a verified approved Freight Forwarder or directly overseas on your behalf. If we are unable to verify your resale or medical license, we will cancel your order.
• All Orders are subject to Supplier approval.
• Supplier may reject or modify Orders based on availability, pricing updates, regulatory requirements, or account status.
• Once shipped, Orders are binding and cannot be canceled. A return must be requested once an Order has shipped.

Pricing

• Prices are quoted in U.S. dollars unless otherwise stated.
• Pricing is subject to change without notice prior to Order acceptance.
• Contracted or GPO pricing applies only when the Customer meets eligibility and compliance requirements.
• Taxes, shipping, and handling fees are additional unless otherwise specified.

Payment Terms

• Payment is prepaid unless Net terms are established and required documentation is completed.
• Standard payment terms are Net 30 days from invoice date unless otherwise agreed in writing.
• Late payments may incur finance charges of the lesser of 1.5% per month or the highest rate allowed under applicable law.
• Supplier retains a security interest in all Products until the purchase price and any delinquency charges are paid in full, and Customer authorizes the filing of financing statements or other documents in such jurisdictions as Supplier deems necessary to perfect such security interest.
• Supplier reserves the right to place accounts on hold for past-due balances.
• Customer is responsible for all collection costs, including legal fees, for delinquent accounts.

Shipping & Delivery

• Shipping terms are FOB Origin unless otherwise stated.

• Risk of loss transfers to Customer upon carrier pickup.
• Delivery dates are estimates and not guaranteed.
• Customer must inspect shipments upon receipt and report discrepancies within 48 hours.

Returns & Exchanges Policy

• We offer a 100% money-back guarantee (less shipping and handling) on every item we sell within 30 days of purchase. If it does not meet your standards for any reason, simply let us know, and we will take it back for a refund.
• We will gladly issue a return shipping label if the return is a result of our error (received incorrect or defective item, etc.).
• In all other cases, the buyer is responsible for return shipping costs and may use their preferred carrier.
• After 30 days, a 10% restocking fee may apply.
• Orders older than 90 days are non-returnable.
• Returns require prior written authorization (RMA).
• Products must be unopened and in resalable condition.
• Custom, sterile, temperature-controlled, or special-order items are non-returnable.
• Restocking fees may apply.

Product Warranty

• Supplier warrants to Customer that the Products, at the time of shipment, are free from material defects in workmanship and materials and will conform, in all material respects, to any written specifications provided by Supplier to Customer.
• SUPPLIER MAKES NO ADDITIONAL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Supplier offers a 30-day money-back guarantee on all unopened items.
• Customer’s exclusive remedy for defective Products is replacement or credit, at Supplier’s discretion.

Regulatory Compliance

• Customer agrees to comply with all applicable federal, state, and local laws.
• Customer agrees not to resell Products in violation of regulatory or contractual restrictions. 

Intellectual Property

• Synergy Surgical™, its logos, trademarks, and all related names are protected by intellectual property laws.
• Any unauthorized use of our intellectual property is strictly prohibited.

Privacy Policy

• We value your privacy and are committed to protecting your personal information. Please review our Privacy Policy to understand how we collect, use, and safeguard your data.

User Rights and Responsibilities

• You must be at least 18 years old to create an account or place an order.
• You agree to use our website lawfully and in accordance with these terms.
• You are responsible for maintaining the security of your account credentials.
• Unauthorized use of our website, including attempting to access restricted areas, is prohibited.

Confidentiality

• Both parties agree to maintain the confidentiality of pricing, proposals, and proprietary information exchanged during the course of business.

No Assignment

• Customer may not assign any of its rights under any contract with Supplier or to the Products, except with the prior written consent of Supplier, which consent Supplier may withhold in its sole and absolute discretion. Any purported assignment is voidable at the sole option of Supplier.

Limitation of Liability

• Supplier is not liable for indirect, incidental, or consequential damages.
• Supplier’s total liability shall not exceed the amount paid by Customer for the specific Products giving rise to the claim.

Indemnification

Customer agrees to indemnify and hold Supplier harmless from claims arising out of:

• misuse or alteration of Products
• improper storage or handling
• unauthorized resale
• Customer’s breach of these Terms and Conditions.

Force Majeure

• Supplier is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, supply chain disruptions, labor disputes, or regulatory actions.

Governing Law; Jurisdiction

• Illinois law shall govern the validity, construction, interpretation, and effect of the contract between Supplier and Customer, and any matter relating to the Products. Supplier and Customer consent to the exclusive jurisdiction of the state and federal courts sitting in Cook County, Illinois.

Termination

• We reserve the right to terminate or suspend access to our website and services at any time, without prior notice, for any violation of these terms.

Entire Agreement

• These Terms and Conditions, together with any written agreements or pricing contracts, constitute the entire agreement between the parties and supersede all prior communications.

Updates to Terms and Conditions

• We may update these Terms and Conditions from time to time. Any changes will be posted on this page. Your continued use of our website after changes are posted constitutes acceptance of the updated terms.
